All services are provided on a project, contract, or subscription basis as defined in separate agreements, proposals, or Statements of Work (SOW).

3. Use of Website

You agree to use our website and services only for lawful purposes.

You must not:

  • Violate any applicable laws or regulations
  • Attempt unauthorized access to systems or data
  • Disrupt or interfere with website functionality or security
  • Copy or misuse content without permission

4. Intellectual Property

  • Client-specific deliverables are governed by the applicable contract or SOW
  • Ownership transfer (if any) must be explicitly stated in writing

5. Client Engagement & Payments

All services are governed by agreed commercial terms, which may include:

  • Scope of work and deliverables
  • Milestones and timelines
  • Payment schedules
  • Acceptance criteria

Failure to meet payment obligations may result in suspension or termination of services.

6. Confidentiality

Both parties agree to protect confidential and proprietary information shared during engagement.

Confidential information shall not be disclosed to third parties without prior written consent unless required by law.

7. Third-Party Services

Our services may depend on third-party platforms (e.g., cloud providers, APIs, tools).

We are not responsible for:

  • Downtime or service interruptions caused by third parties
  • Changes in third-party pricing, policies, or availability

8. Disclaimer of Warranties

All services are provided on an “as is” and “as available” basis unless otherwise agreed in writing.

We do not guarantee:

  • Uninterrupted or error-free operation
  • Specific business, financial, or technical outcomes

9. Limitation of Liability

To the maximum extent permitted by law:

Algebrix and Jahangir Danish LLC shall not be liable for:

Total liability shall not exceed the total amount paid for the specific service giving rise to the claim.

10. Refund & Cancellation Policy

10.1 Cancellation by Client

  • Clients may cancel services by providing written notice to [email protected]
  • Cancellation terms (including notice period) may be defined in the applicable agreement or SOW
  • Work completed up to the cancellation date will be billed and must be paid in full

10.2 Cancellation by Algebrix

We reserve the right to suspend or terminate services if:

  • Payment obligations are not met
  • The client breaches these Terms or any agreement
  • The engagement involves unlawful, unethical, or high-risk activities

10.3 Refund Policy

  • Payments for completed work, delivered milestones, or consumed service hours are non-refundable
  • For prepaid projects, partial refunds (if any) will only apply to unused and unallocated work, at our sole discretion or as defined in the contract
  • No refunds will be issued for delays caused by the client, lack of communication, or failure to provide required inputs

10.4 Subscription Services (if applicable)

  • Subscription fees are billed in advance and are generally non-refundable
  • Cancellation will take effect at the end of the current billing cycle unless otherwise stated

11. Indemnification

You agree to indemnify and hold harmless Algebrix and Jahangir Danish LLC from any claims, damages, or liabilities arising from:

  • Misuse of services
  • Violation of these Terms
  • Infringement of third-party rights

12. Termination

We may suspend or terminate access to services if:

  • These Terms are violated
  • Payment is overdue
  • Continued engagement poses legal or operational risk

13. Governing Law

These Terms shall be governed by the laws of the State of Wyoming, United States.

Any disputes shall be subject to the jurisdiction of courts located in Wyoming.

14. Changes to Terms

We may update these Terms at any time.

Updated versions will be posted on our website with a revised effective date. Continued use of services constitutes acceptance of the updated Terms.
